1. Introduction

Welcome to EduBodh.

• These Terms and Conditions ("Terms") govern the access to and use of the EduBodh School Management Software, related applications, websites, services, and support provided by IT EduBodh Management Software Pvt. Ltd. ("EduBodh", "Company", "we", "our", or "us").
• By accessing or using the Services, the Customer agrees to be bound by these Terms.
• If you do not agree with these Terms, you must not use the Services.

2. Definitions

Customer means the school, educational institution, organization, or other legal entity purchasing or using the Services.

• Authorized User means any employee, administrator, teacher, student, parent, or other individual authorized by the Customer to access the Services.
• Services means the EduBodh School Management Software platform, mobile applications, integrations, support services, updates, and related offerings.
• Customer Data means all information, records, files, documents, and content uploaded or processed through the Services by the Customer or its Authorized Users.

3. Eligibility

The Services are intended for use by educational institutions and organizations.

The Customer represents and warrants that:

• It has the authority to enter into these Terms.
• All information provided is accurate and complete.
• It will use the Services in compliance with applicable laws and regulations.

4. License Grant

Subject to compliance with these Terms and payment of applicable fees, EduBodh grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the subscription term.

• The Customer may permit Authorized Users to use the Services solely for internal educational and administrative purposes.
• No ownership rights are transferred to the Customer.

5. Account Responsibilities

The Customer is responsible for:

• Managing user access.
• Maintaining the confidentiality of login credentials.
• Ensuring that Authorized Users comply with these Terms.
• Promptly notifying EduBodh of any unauthorized access or security incident.

The Customer remains responsible for all activities conducted under its accounts.

6. Customer Data

The Customer retains ownership of all Customer Data.

The Customer grants EduBodh a limited right to process Customer Data solely for:

• Providing the Services;
• Maintaining system functionality;
• Technical support;
• Security monitoring;
• Compliance with legal obligations.

The Customer is responsible for ensuring that it has all necessary permissions and legal bases to upload and process Customer Data.

7. Privacy and Data Protection

EduBodh processes personal data in accordance with its Privacy Policy and applicable data protection laws.

The Customer acknowledges that educational records may contain personal data relating to:

• Students;
• Parents or guardians;
• Teachers;

The Customer acts as the Data Controller and EduBodh acts as a Data Processor where applicable.

8. Acceptable Use

The Customer and Authorized Users shall not:

• Use the Services for unlawful purposes;
• Upload malicious code, viruses, or harmful software;
• Attempt to gain unauthorized access to systems or accounts;
• Interfere with the operation of the Services;
• Reverse engineer, decompile, or copy the software except as permitted by law;
• Use the Services to distribute illegal, offensive, or infringing content.

EduBodh may suspend access where misuse is detected.

9. Service Availability

EduBodh will use commercially reasonable efforts to maintain availability of the Services.

The Customer acknowledges that occasional downtime may occur due to:

• Scheduled maintenance;
• Emergency maintenance;
• Internet or telecommunications failures;
• Events beyond EduBodh's reasonable control.

EduBodh does not guarantee uninterrupted or error-free operation.

10. Support and Updates

During an active subscription, EduBodh may provide:

• Software updates;
• Bug fixes;
• Security patches;
• Technical support.

EduBodh may modify or improve the Services from time to time provided that such changes do not materially reduce core functionality.

11. Fees and Payment

The Customer shall pay all fees specified in the applicable quotation, order form, or subscription agreement.

Unless otherwise agreed:

• Fees are payable in advance.
• Fees are non-refundable.
• Invoices must be paid within thirty (30) days of the invoice date.

Late payments may result in:

• Suspension of access;
• Interest charges permitted by applicable law;
• Recovery costs.

12. Subscription Term and Renewal

Subscriptions commence on the agreed start date and continue for the agreed subscription period.

Unless otherwise agreed in writing, subscriptions automatically renew for successive periods equal to the original term.

Either party may provide written notice of non-renewal at least thirty (30) days before the renewal date.

13. Termination

Either party may terminate the Services:

• By Notice — upon expiry of the applicable subscription term.
• For Cause — immediately if:
  • The other party materially breaches these Terms and fails to cure the breach within thirty (30) days after notice;
  • The other party becomes insolvent, bankrupt, or ceases operations.

Upon termination:

• Access to the Services will cease;
• Outstanding fees remain payable;
• Customer Data will be retained for up to ninety (90) days unless otherwise required by law.

14. Intellectual Property

EduBodh and its licensors retain all rights, title, and interest in:

• The software;
• Source code;
• Designs;
• Documentation;
• Trademarks;
• Technology and related intellectual property.

The Customer acquires no ownership rights through use of the Services.

Any feedback provided by the Customer may be used by EduBodh without restriction or compensation.

15. Confidentiality

Each party shall protect the confidential information of the other party using reasonable care.

Confidential information includes:

• Business information;
• Technical information;
• Customer Data;
• Pricing information;
• Product roadmaps.

Confidentiality obligations survive termination of these Terms.

16. Third-Party Services

The Services may integrate with third-party products or services.

EduBodh is not responsible for:

• Third-party systems;
• Third-party content;
• Third-party outages;
• Third-party privacy practices.

Use of third-party services is subject to the applicable third-party terms.

17. Warranties

EduBodh warrants that it will provide the Services with reasonable skill and care.

Except as expressly stated in these Terms, the Services are provided on an "as-is" and "as-available" basis.

EduBodh disclaims all implied warranties, including:

• Merchantability;
• Fitness for a particular purpose;
• Non-infringement.

18. Limitation of Liability

To the maximum extent permitted by law, EduBodh shall not be liable for:

• Indirect damages;
• Consequential damages;
• Loss of profits;
• Loss of revenue;
• Loss of goodwill;
• Loss of business opportunities;
• Data loss resulting from Customer actions.

EduBodh's total liability arising out of or relating to the Services shall not exceed the total fees paid by the Customer during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded.

19. Indemnification

The Customer agrees to indemnify and hold harmless EduBodh from claims, damages, liabilities, and expenses arising from:

• Customer Data;
• Customer misuse of the Services;
• Violations of applicable law;
• Breaches of these Terms.

20. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control, including:

• Natural disasters;
• War;
• Government actions;
• Internet outages;
• Cyberattacks;
• Labor disputes.

Performance obligations are suspended during the force majeure event.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in [Insert City, India].

22. Changes to These Terms

• EduBodh may update these Terms from time to time.
• School administrators.
• Material changes will be communicated through the platform, email, or other reasonable means.
• Continued use of the Services after the effective date of revised Terms constitutes acceptance of those changes.
